Meredith M. Mazzola

Meredith is head of the Private Client Group. She handles federal, state and international tax matters for a variety of clients from multinational corporations to individuals. With the tax landscape constantly changing, Meredith is innovative in the design of solutions for clients. She develops tax strategies that can adapt to new regulatory requirements and meet their long-term business needs.

Meredith advises businesses in corporate and partnership taxation as well as executive compensation.

She handles international tax matters including inbound and outbound tax planning, and issues relating to controlled foreign corporations, passive foreign investment companies, permanent establishment and treaty benefits.

For resident and non-resident aliens, she advises on estate, gift and income tax planning strategies, using advanced estate planning tools.

  • Acted as primary tax counsel for an emerging Swiss tech company in structuring the acquisition of $40 million dollar U.S. tech company
  • Acted as primary tax counsel for global companies and their shareholders in structuring tax efficient U.S. operations
  • Structured a variety of equity compensation plans for privately held companies
  • Restructured non-resident multi-million dollar U.S. holdings to avoid millions in potential U.S. estate taxes
  • Implemented various estate planning techniques, including utilizing valuation discounts and dynasty trusts, to transfer privately-held businesses to next generation with no tax consequences
  • Structured sale of privately-held company to maximize income and estate tax savings
  • Administers multi-million dollar estates and trusts
  • Acted as primary counsel to form and administer private foundations for a number of high net worth individuals
  • Structured and administer Charitable Remainder Trusts
  • Settled Tax Court case involving estate tax valuations issues
